Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Zarabi Connect platform (the “Service”), operated by Zarabi Connect(“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you confirm you are authorised to bind that company to these Terms.
The Service
Zarabi Connect is a curated business-to-business network for the jewellery industry that helps retailers, brands, and manufacturers discover and connect with one another. We provide the platform for discovery, profiles, matching, and introduction requests. We are not a party to any transaction, agreement, or relationship you form with another member.
Eligibility and accounts
- You must be at least 18 years old and using the Service for genuine business purposes.
- You agree to provide accurate, current, and complete information and to keep it up to date.
- You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorised use.
- Membership may be curated. We may decline, suspend, or remove accounts at our discretion, including where information appears false or where a member misuses the Service.
Member content
You retain ownership of the profile information, documents, and imagery you submit (“Member Content”). You grant us a non-exclusive, worldwide licence to host, display, and share your Member Content as needed to operate the Service — for example, showing your published profile to other members and sharing your details when you send or accept an introduction request.
You represent that you have the rights to the Member Content you submit and that it:
- is accurate and not misleading;
- does not infringe anyone else's intellectual property or other rights; and
- does not contain unlawful, harmful, or deceptive material.
Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, or misleading purpose;
- impersonate any person or business, or misrepresent your affiliation, capabilities, or credentials;
- harvest, scrape, or collect other members' information except through the intended features of the Service;
- send spam or unsolicited communications, or use introductions for purposes other than genuine business enquiry;
- interfere with, probe, or attempt to gain unauthorised access to the Service, other accounts, or our systems;
- upload malware or otherwise disrupt the Service.
Introductions and dealings between members
The Service helps members find and contact one another, but any resulting discussions, negotiations, orders, contracts, payments, and deliveries are solely between the members involved. We do not verify every claim a member makes, do not guarantee any outcome, and are not responsible for the conduct, products, or services of any member. You are responsible for conducting your own due diligence before entering into any arrangement.
Verification and trust signals
We may display verification states and trust signals (for example a verified email, submitted documents pending review, or badges for checks completed by our team). These are provided in good faith to aid discovery and do not constitute a warranty or endorsement. A verification state reflects only the specific check described and nothing more.
Intellectual property
The Service itself — including its software, design, branding, and content we provide — is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any right to our branding or software except the limited right to use the Service as intended.
Third-party services
The Service relies on third-party providers (including hosting, authentication, storage, and email). Their availability and terms are outside our control, and we are not liable for their acts or omissions.
Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any match or introduction will result in a successful business relationship.
Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts paid by you to us in the 12 months preceding the claim.
Indemnity
You agree to indemnify and hold us harmless from claims, losses, and expenses arising out of your Member Content, your use of the Service, your dealings with other members, or your breach of these Terms.
Suspension and termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate your access if you breach these Terms or where necessary to protect the Service or other members. Provisions that by their nature should survive termination will do so.
Changes to the Service and these Terms
We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the “Last updated” date above and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws of the Netherlands, and the courts of the Netherlands will have exclusive jurisdiction over any dispute, without regard to conflict-of-laws principles.
